Melissa Ruman Stewart

Licensed in both Texas and New York, Melissa Stewart has been representing both lenders and companies in middle market and large syndicated loan transactions and asset-based lending since the inception of her practice. She routinely handles dollar and multicurrency national and international complex corporate financing, including tiered lending, secured transactions, real estate lending, and media and telecom finance. Melissa also has represented many companies in a wide variety of corporate transactions including acquisition, disposition and financing transactions.

• Lead counsel to agents, lenders, bank groups and companies in structuring, negotiating and documenting middle market, secured and unsecured, tiered and syndicated financing transactions
• Lead counsel to lead left arrangers, bookrunners, and agents in large syndicated transactions, term B financings, and tiered lending for investment grade, highly leveraged and asset-based borrowers
• Lead counsel to agent and lenders in negotiating, structuring and documenting workouts and credit restructurings
• Lead counsel to agent for senior lenders in issuances with subordinated debt, second liens and other intercreditor arrangements
