As a member of Winstead's Corporate, Securities/M&A Practice Group, Justin's representative clients include closely-held businesses, family offices, private equity firms, real estate developers, and specialty physician groups. His corporate practice centers around M&A transactions, private placement securities offerings, and real estate joint ventures, as well as significant involvement in various transactional matters within the healthcare industry and the sports industry.

Corporate (M&A) Experience

  • Representation spans a variety of industries, with sell-side clients generally consisting of closely-held and/or family-owned businesses (often with equity rollover components) and buy-side clients consisting of both strategic and financial buyers (including acquirers of controlling and minority equity positions)

  • Representation of family office clients of various sizes in their acquisition and divestiture of investment positions in portfolio companies and real estate assets
  • Representative transactions typically involve targets operating in the middle market, with deal consideration in $15M-250M range

Corporate (Private Placement) Experience

  • Representation includes clients operating within the real estate, healthcare, hospitality, energy, and financial services industries
  • Representative transactions typically involve multi-state offerings for private funds or project-specific entities

Corporate (Real Estate Joint Venture) Experience

  • Representation includes sponsor, developer, and equity joint venture partners
  • Representative properties are located across the U.S. and include new development, value-add, and add-on projects
  • Representative industry sub-categories include healthcare, hotel/hospitality, industrial, and multi-family

Corporate (Healthcare Industry) Experience

  • General corporate representation of physician groups and their professional entities, including entity formation, governance, acquisitions/divestitures, and owner buy-sell/succession matters
  • Provider/practice clients in various specialties, including behavioral health, cardiology, dental/oral surgery, hospice/home health, orthopedic, pediatric, pulmonary, and radiology
  • Sell-side and buy-side representation in connection with specialty practice roll-up transactions into various platforms
  • Representation of healthcare real estate private equity firms
  • Structuring and implementation of physician co-invest programs

Corporate (Sports Industry) Experience

  • Representation of professional sports teams (domestic and international) in connection with stadium naming rights
  • Representation of arena/stadium venues in connection with various contractual matters, including joint ventures, sponsorships, and concessions agreements
