Mike Kim represents developers, investors, lenders, property managers and business owners in commercial real estate and corporate transactions. He assists clients with navigating acquisitions, dispositions, financing arrangements, development projects, leasing matters, business purchases and sales, as well as entity structuring and formation.

Mike’s practice involves transactions that require both real estate and corporate transactional guidance. His commercial real estate practice spans a wide breadth of asset classes, including senior living facilities, mixed-use projects, built-to-rent communities, hospitality, and multi-family, while his experience in M&A settings covers various industries ranging from retail, storage warehouses, construction, and information technology, to veterinary healthcare. 

On the financing side, Mike regularly advises his clients in negotiations, loan documentation reviews and preparation, and through closing, and ensures that his clients’ capital needs are met. In addition to seller-financed loans or simple acquisition mortgage loans, he has also secured various types of complex loans such as construction loans, ‘accordion’ revolving credit facilities, and asset-based loans.

In addition, Mike has experience representing clients on business formation and corporate governance matters, including entity selection and formation, ownership structures, equity financing transactions, organizational documents, and private placement offerings. 

Representative Experience

Commercial Real Estate and Financing

  • Represented a developer in the purchase of unimproved land in metro Atlanta and simultaneously secured a $29 million construction loan to build a senior living community on the property.
  • Represented a buyer acquiring a townhome rental community under construction, coordinating multiple successive closings and $27.5 million in financing.
  • Represented the owner of a veterinary healthcare business on a $71 million sale that included both the company and its real estate, with ongoing ownership retained through equity rollover.
  • Supported the sale of a 156-unit apartment complex in Cobb County, GA for $44 million.
  • Represented a private hard money lender in securing a $50 million syndicated 'accordion' revolving credit facility to expand its lending business, using its loan portfolio as collateral.
  • Represented a developer in the acquisition and development of a 38-acre mixed-use project, comprised of residential and commercial components, and later assisted with the subsequent sales of the developed and subdivided component parcels.
  • Represented a developer in the $6.5 million purchase and assemblage of multiple vacant church properties for future development.
  • Represented a private hard-money lending business in negotiating and finalizing a suite of complex agreements—including loan purchase, participation, servicing, and asset management arrangements—with a publicly traded REIT represented by national counsel.
  • Represented the seller of a cold-storage warehouse business in a $42 million asset sale involving restructuring, retained ownership, and performance-based payments.
  • Advised a cybersecurity company on the sale of its business for $7.2 million, including earnout and rollover components.
  • Supported a private equity-backed general contractor in the acquisition of a home improvement supply and services business valued at $16.5 million.
  • Represented the owner of a multi-location retail business in its sale to a public company for $6.7 million.
  • Advised a business owner on new entity formation and capital raise to expand operations at Ponce City Market.
