Jeff McPhaul is a member of Winstead's Corporate, Securities/Mergers & Acquisitions Practice Group. Jeff represents public and private companies in connection with public offerings and private placements of debt and equity securities, mergers, acquisitions, reverse takeovers, divestitures, private equity and venture capital transactions, entity formation, corporate governance, federal and state securities law compliance (including public reporting and disclosure obligations), securities exchange listing requirements and general commercial transactions. Jeff works with the members of the Sports Business and Public Venues Industry Group on a variety of sports and public venue matters.
Jeff’s transactional experience includes counsel regarding the structuring and negotiation of intellectual property licensing and joint development agreements, supply and support arrangements, consulting arrangements and distribution agreements.
Jeff’s clients operate in a diverse range of industries, including oil and gas, e-commerce, technology, electronic entertainment and gaming, semiconductor, hospitality, beverage, aircraft and medical product manufacturing, and range in size from start-ups to large public companies.
In addition to transactional work, Jeff represents public and private companies and securities professionals in securities related regulatory investigations and proceedings conducted by the SEC, state securities regulators and FINRA.
