Dallas, TX, June 29, 2023 - Winstead PC, a leading Texas based law firm with national practices serving clients across the country, today announced that Barbara Klepper has joined the firm’s Corporate/Tax Group as a Shareholder. Ms. Klepper’s practice focuses on executive compensation and employee benefits.

Barbara is known for providing practical and easily understood advice across all facets of executive compensation and employee benefits planning. She has deep experience in helping clients navigate Section 409A and 280G issues, post-closing benefits structuring, executive employment contracts, qualified and nonqualified plans, ERISA issues, severance, change of control agreements, the development of equity incentive plans and benefit and compensation issues in mergers and acquisitions.
In addition, she has worked on the governance and creation of tax-exempt organizations, including private foundations and charitable organizations and the often-complex rules governing the preservation of tax-exempt status.
Barbara also advises boards of directors, compensation committees, and investment and benefit committees and has worked extensively with the IRS and U.S. Department of Labor in connection with tax and benefits issues.
