Real Estate Based Debt-on-Debt Lending (A.K.A. “Leverage Loans” or “Loan on Loan Financing”) – This presentation will explain the basic structure of a medium to long term debt on debt loan secured by an underlying loan which is secured by real property.  It will include comparisons to alternative financing structures (i.e. A/B Loans, Mezzanine Loans and Syndications) as well as fundamental benefits and downsides to the use of a debt-on-debt structure from the perspectives of each of the underlying borrower, direct lender and the leverage loan lender.  In addition to the above, the presentation will address some commonly encountered issues and unique features of debt-on-debt loan origination, including the relationship between the leveraged lender and underlying borrower, loan servicing, default scenarios under the debt-on-debt loan and under the underlying loan, unique debt-on-debt guaranty issues and title insurance.

This course has been approved for MCLE credit by the State Bar of Texas Committee on MCLE in the amount of 1 credit hour.
