Michael Pham is a member of Winstead's Corporate, Securities/Mergers & Acquisitions Practice Group.  Michael's practice focuses on mergers and acquisitions, stock and asset purchases and sales, joint ventures, partnerships, corporate governance, and other commercial and business transactions.  Michael represents a diverse group of clients in the information technology, medical and healthcare, real estate, manufacturing, and energy industries.

Representative Experience

  • Represented Waste Management, Inc. in the sale of its waste‑to‑energy division, Wheelabrator Technologies, Inc., to Energy Capital Partners, valued at $1.94 billion
  • Representation of a medical practice management company in its acquisition of physician groups in Texas and Florida, including providers of primary care, senior healthcare, physical therapy, and internal medicine
  • Represented MMGY Global, LLC, a travel and hospitality marketing agency, in a transaction involving equity investments made by Peninsula Capital Partners and Fine Equity Partners
  • Represented Lawler Foods, a manufacturer of gourmet cheesecakes, layer cakes, pies, and other desserts for retail and foodservice customers, in its sale of the company to Gryphon Investors
  • Represented NetNearU Corp., a provider of managed services for computer network and Wi-Fi systems and developer of cloud-based software solutions for network management, in its sale to ViaSat Inc. through a reverse merger
  • Represented a multinational supplier of industrial gases and services in its acquisition of a manufacturer of porous polymeric and hollow-fiber membranes used in the O&G, refining, petrochemicals, and aerospace industries
  • Represented the purchaser in the acquisition of a propane distribution company (valued at $23 million) and a private offering as part of the financing for the acquisition
  • Represented the lender in the acquisition of a Canadian company that supplies plant and marine based specialty oils and essential fatty acids to the food and nutraceutical industries in North America, Europe, and Asia
  • Represented the developer in a joint venture for the development of a 192‑unit apartment complex located in Pasadena, Texas
  • Represented a multifamily investment and property management company in its portfolio acquisition of five apartment complexes valued at $45 million
  • Representation of a commercial real estate firm in its private offerings and joint ventures for the acquisition and development of office, mixed‑use, urban multifamily, medical office, and industrial properties that are part of its $35 billion portfolio
  • Represented a non‑profit corporation, that provides destination sales and marketing services, in its strategic alignment with a quasi‑public corporation that operates local performing arts and convention facilities
  • Represented a national homebuilding company in an initial public offering (Nasdaq) for the issuance of $110 million of common stock
  • Represented an engineering and scientific services company in its acquisition of a company that provides offshore survival and fire training services for the energy and marine industries
  • Represented the manufacturer of therapeutic support surfaces and medical devices in a strategic partnership agreement with a medical supplier and service provider, for distribution and services relating to negative pressure wound therapy products
  • Represented CSIdentity Corporation, a provider of identity management and fraud detection services for businesses, in a merger agreement with Experian Holdings, Inc. with a $360 million purchase price
  • Represented midstream companies in acquisitions and divestitures of pipelines and other midstream assets
